Terms

Payment

Invoices are payable upon receipt unless a different due date is stated on the invoice. Late payments accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is higher) on the outstanding balance from the due date until paid in full. Avalon Platforms may withhold any work product, deliverables, or intellectual property created during the engagement until all outstanding invoices are paid in full.

Scope Changes & Additional Work

Requests outside the agreed project scope or deliverables—including changes and revisions requested by phone, text, email, or other informal channels—may be treated as additional work. Additional work is billed at USD $125 per hour unless otherwise agreed. Avalon Platforms may proceed with reasonable client-requested changes as they arise and invoice for that time.

Timeline

Project timelines are estimates and may extend based on client feedback, approvals, or delays in receiving required assets, access, or information.

Intellectual Property

Upon receipt of final payment, ownership of the custom deliverables created specifically for this project shall transfer to the Client. Avalon Platforms retains ownership of any pre-existing intellectual property, frameworks, libraries, development tools, utilities, and reusable software components used in the delivery of the project.

Third-Party Services

Any third-party software, hosting, infrastructure, domain, storage, or API costs are not included unless expressly stated otherwise.

Warranty

Avalon Platforms will provide a 14-day post-delivery warranty period for correction of defects related to the agreed functionality of the project.

Ongoing Support

Ongoing maintenance, support, enhancements, or future development work are not included under this Statement of Work unless agreed separately.

Limitation of Liability

Avalon Platforms' total liability arising from or relating to this project shall not exceed the total amount paid under this Statement of Work.

Acceptance

Written approval of this Statement of Work, or payment of an invoice issued under it, constitutes acceptance and authorization for Avalon Platforms to commence or continue work.
